This transaction management service provides administrative and back-office support only to licensed real estate professionals. Our services are limited to non-licensed tasks such as document preparation and organization, deadline tracking, coordination of third-party vendors (as directed by the client), transaction file management, and similar clerical or administrative functions.

We do not provide any services that require a real estate license, brokerage affiliation, or membership in a real estate board or association. We do not:

•  Represent buyers or sellers

•  Negotiate contracts or terms

•  Provide real estate advice, opinions of value, or market analysis

•  Act as a broker, agent, or intermediary in any real estate transaction

•  Supervise or control licensed real estate activities

All real estate brokerage, agency, and licensed activities remain the sole responsibility of the licensed realtor(s) and their brokerage. Use of this service does not create any agency, partnership, joint venture, or employment relationship between the service provider and the client or any third parties.

Clients are solely responsible for ensuring that all activities comply with applicable real estate licensing laws, regulations, and brokerage policies. We assume no liability for any claims arising from licensed real estate activities or from the client’s failure to properly supervise or perform such activities.

Limitation of Liability

To the maximum extent permitted by law, the service provider, its owners, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of data, loss of business opportunities, or any other damages arising out of or related to the use of (or inability to use) this service, even if advised of the possibility of such damages.

In no event shall the total aggregate liability of the service provider for any claims arising out of or related to this service exceed the total fees paid by the client to the service provider for the specific services giving rise to the claim during the twelve (12) months preceding the claim.

This limitation of liability applies regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise. Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you to the extent prohibited by applicable law.
